ClubNat Constitution

Name of the Club
1.1 The name of the club shall be ClubNat, hereafter referred to as the Club.
Aim of the Club
2.1 To promote and practise the highest principles of naturism.
Membership
3.1 Membership of the Club shall be open to any woman over the age of eighteen (18), who is interested in naturism and willing to abide by the rules of the Club.
3.2 Members shall be entitled to all the Membership Privileges.
3.3 Any member of the Club may resign their membership by giving to the Club Secretary written notice to that effect.
Prospective Members
4.1 Every applicant must attend two (2) club venues as a guest of the Club Secretary of which one (1) must be nude.
4.2 They must submit a correctly completed application form.
4.3 They must be proposed for membership by a current member of the Club and seconded by another.
4.4 The final selection process will be by ballot, two (2) against shall exclude.
Membership Privileges
5.1 To attend all venues and meetings organised by the Club.
5.2 To vote on all questions of policy within the Club.
5.3 To propose or second candidates for membership of the Club.
5.4 To vote for such candidates as are nominated for membership of the Club.
5.5 To propose or second officers for election to the Committee.
5.6 To vote for such officers as are nominated for election to the Committee.
5.7 To hold office on and stand for election to the Committee.
Members Guests
6.1 Members are permitted to sign a guest into a Club venue regardless of gender but in accordance with the venue guest policy type:
  No Guests
  Limited Guests
  Unlimited Guests
6.2 If a Club venue has a No Guest policy type then members are not permitted to sign a guest into the venue.
6.3 If a Club venue has a Limited Guest policy type then members are permitted to sign in a single guest over the age of eighteen (18) and a finite number of children under the age of eighteen (18) as defined by the leisure centre in its policy on adult / child supervision ratio.
6.4 If a Club venue has an Unlimited Guest policy type then members are permitted to sign an unlimited number of guests over the age of eighteen (18) and a finite number of children under the age of eighteen (18) as defined by the leisure centre in its policy on adult / child supervision ratio.
6.5 The Club Secretary may sign an unlimited number of prospective members into a Club venue regardless of the guest policy type.
6.6 Guests must abide by the rules of the Club as defined in this constitution.
6.7 Members are accountable for their guest(s) at a Club venue.
The Committee
7.1 The Club shall be administered by a Committee of not less than three (3) members elected at the Club’s Annual General Meeting.
7.2 Officers of the Committee shall be:
  Chairwoman (nominated signature 1)
  Secretary (nominated signature 2)
  Treasurer (nominated signature 3)
7.3 Each of the Committee Officers shall serve a staggered three (3) year term in office.
7.4 Officers may not serve on the Committee for more than two (2) consecutive terms.
7.5 The Committee may co-opt members and non-member experts to the committee as circumstance requires.
7.6 The number of non-member experts on the committee shall be limited to two (2).
7.7 Non-member experts do not have any voting rights in the Club.
7.8 Any member or non-member expert so co-opted must stand down at the next Annual General Meeting.
7.9 The Committee has the power to set up sub-groups and working parties as deemed necessary who shall be accountable to the committee.
7.10 The quorum on a sub-group shall be one (1) member.
7.11 The Committee shall be accountable to the Club members at all times.
Committee Meetings
8.1 The Committee shall meet at least four (4) times each year.
8.2 The quorum on a Committee Meeting shall be at least three (3) Committee members.
8.3 All Committee officers shall be given at least seven (7) days’ notice of a meeting unless it is deemed an emergency meeting.
8.4 Voting at the Committee meetings shall be by show of hands on a majority basis. If there is a tied vote then the Chairwoman shall have a second vote.
8.5 Minutes of the Committee Meeting will be taken by the Club Secretary and made available to any interested member of the Club.
Annual General Meeting
9.1 The Club shall hold the Annual General Meeting (AGM) within five (5) months of the financial year end.
9.2 The quorum for the AGM shall be three (3) members or 1/10th of the Club voting strength, whichever is less.
9.3 Members must be giving at least four (4) weeks notice of the AGM.
9.4 Where possible members shall be notified personally of the AGM, otherwise notice will be deemed served by advertising location, date and time of the meeting on the club website.
9.5 A written agenda for the AGM must be circulated to the members at least two (2) weeks before the meeting.
9.6 The business of the AGM shall include:
  Chairwoman’s Report
  Treasurers Report
  Constitutional Amendments
  Election of a new Management Committee
  Any other business
9.7 Voting at the AGM shall be by show of member’s hands on a majority basis. If there is a tied vote then the Chairwoman shall have a second vote.
9.8 Each member shall have one vote only.
9.9 Minutes of the AGM will be taken by the Club Secretary and made available to any interested member of the Club.
Extraordinary General Meeting
10.1 The Chairwoman may call an Extraordinary General Meeting (EGM) for the express purpose of discussing an urgent amendment to the Constitution, or some other crisis.
10.2 The Chairwoman shall be bound to call an EGM if required to do so by the Membership of the Club.
10.3 The Membership shall express this requirement by presenting the Chairwoman with a petition which calls for the meeting and states the reason(s) for the meeting. The petition must be signed by at least five (5) members of the Club.
10.4 The quorum for the EGM shall be three (3) members or 1/10th of the Club voting strength, whichever is less.
10.5 Voting at the EGM shall be by show of member’s hands on a majority basis. If there is a tied vote then the Chairwoman shall have a second vote.
10.6 No other business may be transacted at such a meeting.
10.7 Minutes of the EGM will be taken by the Club Secretary and made available to any interested member of the Club.
Elections
11.1 Elections shall take place at the Annual General Meeting.
11.2 Candidates for positions on the Committee shall be proposed and seconded by members of the Club.
11.3 Candidates may neither propose nor second themselves.
11.4 Members may only propose or second one candidate for each position.
Alteration of the Constitution
12.1 Any amendment to the Constitution shall be by adoption of a Resolution proposed and seconded by any two current members at either an Annual General Meeting or an Extraordinary General Meeting.
12.2 Such a Resolution shall have been circulated in writing to all members at least four (4) weeks prior to the meeting.
12.3 Such a Resolution requires a majority vote before coming into effect.
Finance
13.1 Any money obtained by the Club shall be used only for the Club.
13.2 Any bank accounts opened for the Club shall be in the name of the Club.
13.3 The Accounts shall be certified by an appropriate independent person elected annually at the Annual General Meeting.
 
Membership Fees
14.1 Annual subscriptions are due on the first day of January.
14.2 If the annual subscription has not been paid on or before the last day of March, some or all Membership Privileges may be suspended.
14.3 The Club Treasurer may propose a change to the Club fee structure at an Annual General Meeting or an Extraordinary General Meeting. The proposition must be seconded by another member of the Club and comes into effect only after a majority vote by the members.
Misconduct
15.1 Any member of the Committee and at least one (1) other member of the Club may immediately expel from a Club venue any member and / or her guest(s) who behave in such a manner likely to cause offence or serious distress to others at a Club venue.
15.2 If a member has been expelled from a Club venue then all guests of that member are required to leave the venue.
15.3 If a guest has been expelled from a Club venue then the inviting member and all other guests of the inviting member are required to leave the venue.
15.4 Any member expelled from a Club venue whether by her own actions or that of her guest(s) will subsequently be given the opportunity to meet with at least three (3) members the Committee to refute any allegation.
15.5 The adjudication of the Committee shall be final and will include the option to expel the person(s) from the Club.
Child Safeguarding
16.1 Every adult has a duty of care towards children at a Club venue in accordance with the Club Child Safeguarding Policy.
Dissolution
17.1 The Club may be wound up at any time if agreed by majority vote of those members present and voting at any AGM or EGM.  Any assets shall be passed to another Club with similar aims.
Adoption of the Constitution
18.1 This constitution was adopted by the members present at the AGM held on: 17th January 2010
